By-Laws of The Medical College of Georgia’s Resident’s Organization

Recognizing that the rendering of professional service to patients in accordance with the precepts of modern scientific medicine and the maintenance of the efficiency of the individual physician may best be served by coordinated action, the housestaff who are training at the Medical college of Georgia Hospital do hereby organize themselves into a Resident’s Organization to provide such coordination in conformity with the following by-laws.

Article I
The name of this organization shall be the Medical College of Georgia’s Resident’s Organization.

Article II
The Medial College of Georgia’s Resident’s Organization shall be composed of physicians who are residents appointed by and currently under contract to the Medical College of Georgia.

Article III
Officers and Committees

Section 1
Officers and Executive Committee
The officers of the Medical college of Georgia’s Resident Organization Executive Committee shall be the President, the President-Elect (Vice President), the Secretary-Treasurer, and two Members-at –Large.  They shall make up the executive committee, which shall meet at least once a month and other times as deemed necessary.

The President shall call and preside at all meetings and shall be a member ex-officio of all committees. He/she shall represent the Resident’s Organization on the Graduate Medical Education committee.  The first president shall be elected by the residents of the Medical College of Georgia.  Subsequent Presidents shall be the former President-Elect to ensure continuity of the organization.

The President-Elect (Vice President), in absence of the President, shall assure all his/her duties and have all his/her authority.  He/she shall be President the following year after serving the term as President-Elect.  Nominees for the position shall be named by the voting representatives of the Clinical Departments and then voted on by the entire resident body of the Medical College of Georgia.

The Secretary-Treasurer shall keep accurate records of all meetings, call meetings on order of the President, and perform such duties as ordinary pertain to his/her office.  Nominees for the position shall be named by the voting representatives of the Clinical departments and the voted on by the entire resident body of the Medial college of Georgia.  The Secretary-Treasurer shall take direction from the President, Vice President, and the Executive Committee.  He/she shall act as treasurer of the Resident’s Organization when necessary.

The Members-at-Large shall be present at all meetings and have equal voting power as other officers.  There shall be two Members-at-Large nominated by the voting representatives of the Clinical departments and the voted on by the entire resident body of the Medical College of Georgia.

The following of the executive committee shall be reconstituted annually: the President-Elect, the Secretary-Treasurer, and Members-at-Large.

Section 2
Resident Organization’s Representatives Committee and Standing Committees
The Resident’s Organization shall have a committee which shall be called the Resident’s Organization’s Representatives Committee which shall meet with the executive committee at least once quarterly and other times when deemed necessary.

The membership of the Representatives Committee shall consist of one voting representative of each of the Clinical Departments of Anesthesiology, ‘Dermatology, Family Medicine, Medicine, Neurology, Obstetrics & Gynecology, Ophthalmology, Orthopedics, Otolaryngology, Pathology, Pediatrics, Psychiatry, Radiology, Surgery and Urology, including their respective subspecialty divisions.  The housestaff members of each department shall select their representative(s); the chief residents of each department are responsible for the process by which this is done in their respective departments.  Medicine shall have two representatives because of its size.  A member of the Executive Committee may suffice as the representative of a department if that department wishes.

The quarterly meetings shall be open to all residents of the Medical College of Georgia, however, only representatives and executive committee members shall be recognized and have voting power.  Residents should voice concerns and matters for discussion to their respective representatives.

Representatives shall be appointed by the President to sit as voting members on Standing Committees of the Medical College of Georgia as deemed necessary.

The Representative committee and members of Standing Committees shall be reconstituted annually.

Article IV
Meetings

Section 1
Regular Meetings
Regular meetings of the Executive Committee shall be held monthly or at the discretion of the President.  Quarterly meetings shall be held for the Executive Committee and Representative Committee.  The quarterly meetings shall be open to any member of the housestaff of the Medical College of Georgia.

Section 2
Special Meetings

Special Meetings of the Executive Committee or the Representative Committee or any Standing Committee, may be called at any time by the President of the Executive Committee.

Section 3
Quorum

Any three members of the Executive Committee present at any given meeting shall constitute a quorum.

Section 4
Agenda

The Agenda at any regular meeting shall be:

  1. Call to Order
  2. Reading of the minutes of the last regular and all special meetings
  3. Unfinished business
  4. Communications
  5. Repots, as indicated, from representatives
  6. New business
  7. Adjournment

The agenda at special meetings shall be:

  1. Reading of the notice calling the meeting
  2. Discussion of the business for which the meeting was called
  3. Adjournment

Article V
Amendments
Amendments to these By-laws shall be proposed by resolution at a regular meeting of the Executive Committee.  Proposed amendments shall be voted on at a scheduled quarterly meeting and shall require two-third majority of those present and voting for adoption.  A copy of the resolution shall be transmitted in writing to all members of the Resident’s Organization 30 days prior to such meeting.

Article VI
Adoption

These By-Laws have been adopted by a majority of the Resident’s Organization present at a scheduled meeting.
